Terms of Service

Closed beta. Invoister is in active development. We may update this document as the product evolves; the "Last updated" date above always reflects the current version, and we will notify you of material changes.

These Terms govern your use of Invoister (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is provided by Mykyta Ryzhov ("Invoister", "we", "us"). You can reach us at [email protected]. See our Imprint for provider details.

You must be at least 18 years old and able to enter a binding contract to use the Service.

2. The Service

Invoister is an invoicing tool for freelancers and small businesses to create, manage and send invoices.

The Service is currently in a closed beta. Features may change, be limited, or be withdrawn, and the Service may be unavailable or contain errors. We provide it during this period without any guarantee of stability or continuity.

3. Your account

You must provide accurate information and keep your login credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorised use.

4. Acceptable use

You may use the Service only for lawful purposes. You agree not to: issue fraudulent, fake or misleading invoices; use the Service for money laundering, tax evasion, or to invoice for illegal goods or services; infringe intellectual property or other rights; upload malware; scrape, overload, or attempt to gain unauthorised access to the Service; or resell the Service without our permission.

We may suspend or terminate your account if you breach this section.

5. Your content and your responsibility

You own the data you put into the Service, including your invoices, clients and business details. You grant us a limited licence to host, process and transmit that data solely to operate and provide the Service to you.

You are solely responsible for the content, accuracy, legality and tax-correctness of every invoice you create and send using the Service. Invoister is a tool: it does not verify, and does not guarantee, that an invoice complies with the invoicing, tax, VAT or accounting rules of any country. Ensuring your invoices meet your legal and tax obligations is your responsibility.

6. No professional advice

Nothing in the Service — including templates, tax modes, suggested fields, or the AI assistant — constitutes legal, tax, accounting or financial advice. Consult a qualified professional for advice on your situation.

7. AI assistant

The Service may offer optional AI features. AI output can be inaccurate or incomplete. You must review and verify any AI output before relying on it, and we are not liable for actions you take based on it.

AI usage is subject to fair-use limits (currently 30 messages/month on the free plan and 400/month on Pro). We may rate-limit or suspend AI access for abuse or excessive use.

8. Payments and subscriptions

Paid plans ("Pro") are sold and billed through our Merchant of Record, Lemon Squeezy, which acts as the seller of record for those transactions. Lemon Squeezy handles payment processing, billing, tax and VAT collection and remittance, invoicing to you, and refunds. Your purchase is also subject to Lemon Squeezy's terms.

Subscriptions renew automatically for the chosen billing period until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We will give advance notice of any price change.

9. Refunds and right of withdrawal

Refunds are handled by our Merchant of Record under its refund policy. Where you are an EU/EEA consumer, you have a statutory 14-day right of withdrawal for digital services, unless you expressly request that the service begin immediately and acknowledge that you lose (or proportionally lose) that right once it does — this is captured at checkout.

10. Plan limits and fair use

The free plan includes limited capacity (currently up to 3 clients and 15 invoice slots). Pro plans have higher limits. We may adjust plan limits with reasonable notice.

11. Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee any particular uptime, and we may modify, suspend or discontinue any part of the Service, particularly during the beta period.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. This section does not affect mandatory statutory rights you have as a consumer.

13. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) €50. We are not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; our statutory liability for the processing of personal data; or any liability that cannot be limited or excluded under applicable law, including mandatory Spanish and EU consumer-protection law.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold us harmless from third-party claims, losses and costs arising out of your use of the Service, the invoices and content you create, or your breach of these Terms or of applicable law. This obligation applies in full to business users; for consumers it applies only to the extent permitted by mandatory law.

15. Termination

You may stop using the Service and delete your account at any time from Settings → Privacy. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. On termination, your data is handled as described in our Privacy Policy, including the legal retention of invoice and tax records.

16. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of Spain, without prejudice to the mandatory consumer-protection rights you enjoy in your country of residence. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
